These Terms & Conditions (“Terms”) govern access to and use of RotronStore.com and purchases made through the site. RotronStore.com is operated by Sivat Water Solutions, Inc. (“RotronStore,” “Sivat,” “we,” “us,” or “our”). By using the site or placing an order, you agree to these Terms and the policies incorporated by reference.
1. Store purpose and eligibility. RotronStore sells industrial equipment, replacement parts and accessories. You represent that you have legal capacity to enter into a binding transaction and that information you provide is accurate and complete. If you place an order on behalf of a company or other organization, you represent that you are authorized to do so.
2. Product information and technical data. We work to present accurate product descriptions, images, specifications, availability and technical information. Manufacturer data, product designs and specifications may change without notice. Website content is for product identification and purchasing support and is not a substitute for current Manufacturer literature, project engineering or site-specific design. Final product selection is the customer’s responsibility unless RotronStore or Sivat has expressly agreed in writing to a separate scope of technical or project services. Customers should verify airflow, pressure or vacuum, electrical supply, operating environment, compatibility and applicable codes before ordering or installing equipment.
3. Orders and acceptance. An order submitted through the site is an offer to purchase. We may accept, reject, limit or cancel an order before shipment for reasons including product availability, pricing errors, suspected fraud, geographic or Manufacturer restrictions, export limitations, configuration issues or other legitimate business reasons. If we cancel an order after payment has been captured, we will issue the appropriate refund.
4. Pricing and payment. Prices are shown in U.S. dollars unless stated otherwise and may change without notice. Taxes, shipping, freight, duties, brokerage, configuration charges and other applicable fees may be added as shown at checkout or on a quotation. Payment is due using the methods offered by the store or the terms stated in an approved written quotation or account agreement.
5. Quotations and configured products. Formal quotations may include separate validity periods, lead times, freight terms, payment terms, exclusions and project-specific conditions. If a written quotation conflicts with general website copy for the quoted transaction, the quotation controls to the extent of the conflict.
6. Sales tax and tax-exempt purchases. RotronStore collects sales tax where required by applicable law and store nexus and registration rules. Customers claiming exemption are responsible for providing valid documentation through the process we specify. Tax-exempt customers should submit a valid exemption certificate to accounting@sivatwater.com. The customer remains responsible for taxes, duties or charges not collected by RotronStore when applicable law places that obligation on the customer.
7. Shipping and delivery. Shipping, freight, estimated lead times and delivery requirements are governed by the Shipping Policy and any applicable quotation. Delivery dates are estimates unless expressly guaranteed in writing. Delays can occur due to Manufacturer production, carrier performance, supply constraints, weather, force majeure or other circumstances beyond our reasonable control.
8. Inspection and freight damage. Customers should inspect shipments promptly and report visible damage, shortages or incorrect items as soon as reasonably possible. Follow the Shipping and Return policies for documentation and claim procedures. Failure to document freight damage may affect the ability to pursue a carrier claim.
9. Returns and refunds. Returns and refunds are governed by the Return & Refund Policy posted on the site. Special-order, configured, used, altered, installed or otherwise designated non-returnable products may not be eligible for return. Return authorization is required before shipping a product back.
10. Manufacturer warranties. ROTRON products are manufactured by Bison, a business of AMETEK (the “Manufacturer”) and are covered by the Manufacturer’s warranty, which is given by the Manufacturer and not by RotronStore or Sivat Water Solutions, Inc. The Manufacturer’s current terms are published on the Warranty page, which governs in the event of inconsistency with this section. In summary: Products are warranted free from defects in material and workmanship for one year from date of shipment; the remedy is repair or replacement at the Manufacturer’s option; notice of a defect must be given within 7 days of delivery, or within 7 days of discovery where the defect was not apparent on reasonable inspection; and no Product may be returned without an RMA number obtained in advance. RotronStore does not provide, enlarge, extend or modify the Manufacturer’s warranty unless expressly stated in a separate written agreement. EXCEPT FOR PASSING THROUGH THE MANUFACTURER’S WARRANTY, ROTRONSTORE.COM AND SIVAT WATER SOLUTIONS, INC. MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
11. Application and installation. RotronStore and Sivat Water Solutions are equipment suppliers and project-support resources. Unless specifically contracted otherwise in writing, neither is the installing contractor, licensed design professional or engineer of record. Installation, wiring, controls, piping, guarding, code compliance, permitting, commissioning and safe operation are the responsibility of the parties performing or supervising that work.
12. Intellectual property and trademarks. Site content owned by RotronStore and Sivat, including original text, graphics, layout and other materials, is protected by applicable intellectual-property laws. ROTRON®, Bison®, AMETEK® and other Manufacturer marks are the property of their respective owners and are used for identification of genuine products. No ownership of third-party trademarks is claimed by RotronStore or Sivat.
13. Acceptable use. You may not use the site to violate law, infringe intellectual-property or privacy rights, interfere with site security or operation, introduce malicious code, attempt unauthorized access, scrape the site in a manner that materially disrupts service, submit false information, engage in fraud or abuse, or use the site for another prohibited purpose.
14. Third-party services and links. The site may rely on Shopify and other third-party services and may link to Manufacturer, carrier or other websites. We are not responsible for third-party content, availability or practices except as required by applicable law or expressly stated in writing.
15. Disclaimer of website warranties. To the fullest extent permitted by applicable law, the site and general website content are provided on an “as available” basis. We do not guarantee that the site will be uninterrupted or error-free or that general website content is suitable for every application. This section does not disclaim any warranty that cannot legally be disclaimed or any express Manufacturer warranty that applies to a purchased product.
16. Limitation of liability. To the fullest extent permitted by law, RotronStore and Sivat will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from use of the site or a transaction, including lost profits, lost production, business interruption, loss of or damage to livestock, aquatic animals, crops or inventory, and costs of cover or substitute equipment, except to the extent such limitation is prohibited by law or inconsistent with an express written agreement. Any limitation of direct liability for a specific transaction should be governed by the applicable written quotation, contract and law.
17. Indemnification. To the extent permitted by law, you agree to indemnify and hold harmless RotronStore, Sivat and their officers, employees and agents from third-party claims arising from your unlawful use of the site, violation of these Terms or misuse or unauthorized modification of products, except to the extent a claim results from the indemnified party’s own conduct for which indemnification cannot lawfully be required.
18. Force majeure. We are not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, severe weather, fire, labor disruption, transportation interruption, cyber incidents, acts of government, war, terrorism, supplier or Manufacturer interruption, utility failure or similar events, subject to applicable law and any controlling written agreement.
19. Governing law and venue. These Terms are intended to be governed by the laws of the State of Texas, without regard to conflict-of-law principles. The client draft says venue and dispute-resolution language must be confirmed by counsel before launch. Insert the approved wording here.
20. Changes to these Terms. We may update these Terms from time to time. The version posted on the site at the time of use or transaction will apply, subject to any separate written agreement that governs a specific order or project.
